Usage Rights

Usage Rights cover all necessary requirements for acquisition of Media Assets.

Usage rights are important for any acquisition of Media Assets.

The standard usage rights of acquired Media Assets must be:

  • without limitation in time
  • without limitation in media
  • without limitation in territory
  • without endorsements (e.g. credits to the photographer)
  • usable to all OSRAM companies and any third party
  • compliant with the OSRAM visual language

OSRAM employees are only allowed to use contracts that include the unrestricted standard usage rights (in accordance with OSRAM internal approval regulations and external signature authorizations).

Is it necessary to deviate from the standard scope of usage rights? Then you have to get dedicated approval by CB BC MCOM (media_asset@osram.com).

Only the following restrictions are permissible:

  • Rights only for the use of OSRAM Companies (excluding third parties, e.g. customers)
  • Time limitations
  • Media limitations, but only falling under the following three categories:
    1. for internal use only (e.g. intranet, internal presentations, internal newsletter)
    2. for use in online media only (e.g. internet, extranet, mobile, interactive application, social media, external newsletter)
    3. no public broadcast (e.g. TV station, Radio station, Public cinema. The exception of public broadcast must not exclude in-store TV, in-store radio, or a non-public presentation in a cinema), which needs to be included in the scope of the granted rights
  • Specific endorsement obligation to name the photographer, architect, lighting designer, or others

If further restrictions of the usage rights are requested, then the following process must be observed:

1. The OSRAM employee has to get in contact with CB BC MCOM (media_asset@osram.com).

2. CB BC MCOM decides how to proceed in this case.

3. CB BC MCOM will present the case to the Media Asset Approval Committee for approval. Any exception has to be documented and attached to the relevant Media Asset in the MDB.

4. CB BC MCOM and Controlling (CON 32) have to make a risk estimation, and produce a report on this particular case.

Members of the Media Asset Approval Committee include the following functions:

  • Corporate Communications & Investor Relations (CC&IR)
  • Corporate Sales & Marketing and Marketing (CB BC MCOM)
  • IT BP IMK
  • Legal

A contract must be entered into with all people who own rights in the respective Media Asset, e.g.:

  • Photographer
  • Model
  • Architect
  • Owner of the shoot location
  • Editor
  • Employee

This can also be achieved by a single provider, e.g. an advertising agency, which procures all rights to OSRAM.

Please use only approved contract templates.

All signed contracts have to be stored centrally at CB BC MCOM, preferably as original documents. Please send the documents to media_asset@osram.com.

Note: Withholding Tax (Quellensteuer)

The withholding tax applies, if a German OSRAM entity, assigns a photographer/videographer abroad (outside of Germany) or licenses usage rights of his already existing art works. Please get in contact with media_asset@osram.com to receive a suitable contract and guidance in this matter.
